Following is a brief description of representative accomplishments for certain of Nancy's previous engagements.

Recruited by the former OneWest Bank Chief Legal Officer to work on a four month assignment. 
Nancy supported the in-house legal team, which was over-extended due to a recent resignation and multiple major corporate projects. 

  • Led negotiations for a new 64,000 square foot office lease to provide additional work space for this growing company
  • Negotiated significant corporate level SaaS and traditional vendor contracts
  • Developed new contract templates to allow the legal department to function more efficiently going forward
  • Worked through a back-log of vendor agreements

In May 2014, Apollo acquired out of bankruptcy assets of Classic Party Rentals. The $250 million company had a seasonal flex work force of 1,400-2,000 and operated in 17 locations in 7 states.  
Nancy was recruited by a Board Member in December 2014 as the company’s first General Counsel. 

  • Reduced core outside legal fees YOY from $580,000 to $180,000
  • Reorganized and consolidated outside counsel providers
  • Implemented general liability claims management process
  • Developed form contracts and implemented contract approval processes
  • Created website privacy policy and terms of use
  • Avoided union organizing efforts at one location and had a union decertified in another
  • Reinvigorated and provided order to operations recruiting and hiring process

Recruited by the Chief Legal Officer to assist with legal activities related to the FDIC’s sale of the assets of IndyMac Bank to a group of investors led by Steven Mnuchin.

  • Managed legal team to resolve more than $1.5 billion of non-performing commercial real estate loans.
  • Coordinated transition and work-out of portfolio of 3000 commercial and consumer construction loans, book value $1.65 billion, in a structured transaction with the FDIC.
  • Oversaw legal efforts to review hundreds of securitized loan portfolios to determine ability to modify residential mortgages.
  • Established commercial and residential construction loan modification forms and processes.

Promoted to successively more responsible positions over 11 years working with this publicly traded, Fortune 350 homebuilder (NYSE: KBH), operating in 16 states, with $11 billion in revenues in FY2006. 

  • Lead attorney for KB Home’s acquisition and integration of multiple private companies in four states.
  • Lead attorney, as the managing member of the developer owner, negotiating and documenting all aspects developing the JW Marriott and Ritz Carlton Hotel and Residences at LA Live, including a 40-year dual brand hotel management agreement.
  • Lead attorney for the sale of KB Home’s captive mortgage company to, and subsequent entry into a joint venture with, Countrywide.
  • Lead attorney representing the interests of the four merchant builders in the bankruptcy work-out of the master planned community “Olinda Ranch” (Brea, California)
  • Conceived, developed and implemented compliance plans and oversight for corporate and division operations.
